J.C. FLOWERS & CO.

Managing Director, Chief Operating Officer & General Counsel

Description

Sally Rocker is Managing Director, Chief Operating Officer & General Counsel at J.C. Flowers & Co. (JCF), and a member of the firm’s Management Committee. She was named COO last year in recognition of the critical role she plays at the Firm. Sally is a pioneer in private equity. She’s been a member of the senior leadership team at JCF for more than 25 years and has played an integral role in helping Chris Flowers build the global firm. She joined private equity at a time when there were few women in the industry, and even fewer in senior roles, and has made it a priority to hire and mentor many women throughout her career, well before it became a priority for PE firms. As only one of a handful of executives serving on both JCF’s Management Committee and Investment Committee, she is responsible for making investment decisions and charting the overall direction of the Firm. She has a demonstrated record of success in all aspects of the private equity business, including transaction structuring and execution, complex project management, portfolio company governance experience and engagement with key regulators, and capital-raising activities. Sally is a strategic thinker and creative problem-solver with extensive relationships and credibility across the private equity investor community. During her two decades at the firm, she has been an integral part of some of the Firm’s most successful investments, including Ascensus, OneWest Bank (formerly IndyMac) and AmeriLife, serving on the boards of those companies. Sally currently serves on the Board of Directors at Hamburg Commercial Bank (HCOB) and is also part of the team that in December 2022 completed the purchase of a pool of nonperforming assets from YES BANK with a principal balance of ~$6 billion, which marked the single largest non-performing asset sale ever in India. Prior to joining the PE industry, she spent 10+ years as a transactional lawyer in venture capital, M&A and fund formation, and previously worked in corporate treasury and finance. She received a B.A. from Brown University, an M.B.A. from Yale University and a J.D. from Stanford University.
